Terms of Service

1. Acceptance of Terms

By accessing or using the Flaunt platform ("Platform"), owned and operated by FUZZY FORCE TECHNOLOGIES PRIVATE LIMITED ("Company," "we," "us," or "our"), you ("User" or "you") agree to be bound by these Terms of Service ("ToS"). If you do not agree to these ToS, you may not access or use the Platform.

2. Description of Service

Flaunt provides a platform that connects brands with influencers for marketing campaigns. Services include, but are not limited to, influencer discovery, campaign management, content creation, and performance analytics.

3. User Accounts

• Eligibility: You must be at least 18 years old to use our Platform. If you are under 18, you must have verifiable parental consent to use the Platform, particularly for participation as an influencer.

• Account Information: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as necessary.

• Account Security: Notify us immediately of any unauthorised access to or use of your account.

4. User Content

• Responsibility: You are solely responsible for any content you create, upload, or share on the Platform ("User Content").

• Rights: You retain ownership of your User Content. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content on the Platform and for promotional purposes.

• Prohibited Content: You agree not to post User Content that is illegal, infringing, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any User Content that violates these ToS.

5. Payments and Fees

• Fees: Fees for using the Platform's services are outlined on the Platform and are subject to change.

• Payment Terms: You agree to pay all fees associated with your use of the Platform in accordance with the payment terms specified.

• Taxes: You are responsible for any applicable taxes related to your use of the Platform.

• Influencer Payments: Influencers participating in campaigns will be paid according to the agreed-upon terms for each campaign. Payments are subject to KYC verification where legally required.

6. Intellectual Property

• Our Content: The Platform and its content, including but not limited to text, graphics, logos, and software, are owned by or licensed to us and are protected by copyright and other intellectual property laws.

• Restrictions: You may not copy, modify, distribute, or create derivative works based on our content without our express written permission.

7. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these ToS. Please review the Privacy Policy to understand how we collect, use, and protect your information.

8. Disclaimers

• Platform Availability: We strive to provide a reliable Platform, but we do not guarantee that the Platform will be available at all times or that it will be free from errors.

• Third-Party Content: We are not responsible for the content or actions of third parties, including influencers and brands, who use the Platform.

• No Warranty: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of your use of the Platform, your User Content, or your violation of these ToS.

11. Governing Law

These ToS shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. For users in the US, any disputes shall be subject to arbitration in accordance with the rules of the American Arbitration Association.

12. Dispute Resolution

These Terms of service are governed by the laws of India. All disputes, controversies, or claims arising out of or relating to these Terms of Service, including their interpretation, validity, performance, or breach, shall first be attempted to be resolved amicably through mutual discussions between the parties. If such efforts fail, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, India. Each party irrevocably submits to the jurisdiction of such courts for the resolution of any such disputes, waiving any objections to venue or jurisdiction

13. Termination

We may terminate your access to the Platform at any time for any reason, including but not limited to your violation of these ToS.

14. Modifications to Terms

We may modify these ToS at any time by posting the revised ToS on the Platform. Your continued use of the Platform after the posting of revised ToS constitutes your acceptance of the changes.

16. KYC (Know Your Customer)

As per regulatory guidelines, the Company is required to conduct KYC of its users and influencers. You agree to provide true and authentic information for KYC purposes, failing which, the Company reserves the right to reject your registration or terminate your access to the platform.

17. Data Protection

  The Company shall revert to every complaint within 48 working hours of receipt of the complaint. Further, the Company shall take best possible efforts to redress the complaint within 30 days of receipt of the complaint. Any suggestions by Company regarding use of the Platform shall not be construed as a warranty.
  
  

  The User agrees and acknowledges that the Company shall address and attempt to resolve the complaint received in accordance with the standard policies and procedures adopted by the Company, the User’s disapproval/discontent with the outcome/mode of redressal shall not be deemed to mean non-redressal of the complaint by the Company. Any suggestions by Company regarding use of the Platform shall not be construed as a warranty.
  
  

• Data Rights: You have rights regarding your personal data, including the right to access, rectify, erase, restrict processing, and data portability, as described in our Privacy Policy.

18. Miscellaneous

• Entire Agreement: These ToS constitute the entire agreement between you and us regarding your use of the Platform.

• Severability: If any provision of these ToS is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• Waiver: Our failure to enforce any provision of these ToS shall not be deemed a waiver of such provision.
